Terms and Conditions
- PAYMENT OF MEMBERSHIP FEES – All payments to HEALTH + GLOW are final and can be made only by an Annual Payment. The Annual payment must accompany this Application.
- TERM – All memberships of HEALTH + GLOW are annual and payments are due in advance. Automatic drafts will not be canceled without thirty (30) days written notice, either by certified mail, hand-delivery to the management of HEALTH + GLOW, or by electronic means (i.e., email) in accordance with this Agreement. Notice by hand delivery or certified mail shall be given to [4331 S Manhattan Ave, Tampa, FL 33611]. E-mail shall be sent to primary.care@myhealthandglow.com . No refunds will apply in the event of termination by Member.
- DEFAULT/REMEDIES – Any annual payment received more than ten (10) days after the due date shall be subject to a late charge of ten percent (10%) of the amount due or Fifteen Dollars ($15.00), whichever is greater.
- BINDING EFFECT – This Agreement shall be binding upon, inure to the benefit of, and be enforceable by the parties hereto and their respective successors and assigns. Member may not assign this agreement without the written consent of Health + Glow.
- AGREEMENT – This Agreement, including the schedules, lists and other documents referred to in this Agreement which form a part of this Agreement, embody the entire agreement and understanding of the parties with respect to the subject matter contained in this Agreement. There are no restrictions, promises, warranties, covenants or undertakings, other than those set forth or referred to in this Agreement. This Agreement supersedes all prior agreements and understandings between the parties with respect to each subject matter.
- GOVERNING LAW/DISPUTES – This Agreement, and all documents mentioned herein by reference, shall be governed by the laws of the State of Florida. All disputes relating to the services provided herein or to this Contract shall be decided by any court located in Hillsborough County, Florida, and shall be decided without a jury.
- FURTHER ASSURANCES – The parties agree to execute such further documents as may be necessary, proper or convenient, for the purpose of fully effectuating the terms and conditions of this Agreement.
- SUSPENSION AND TERMINATION – I understand that non-payment of the Membership Fees is a violation of HEALTH + GLOW’s policies and procedures, and that if Member fails to pay the Membership Fees, HEALTH + GLOW at its sole discretion, assumes no further liability to adhere to the terms of this Agreement and may suspend or terminate the membership at its discretion at any time.
- ACCEPTANCE OF TERMS – Membership services are non-transferable to other persons. I understand that I may not freeze my services at any time. I agree to promptly update HEALTH + GLOW of any change in my contact information (including address, telephone number or email address) or change in credit information.
- RIGHT TO ACCEPT OR DECLINE PATIENTS – Health + Glow Primary Care reserves the right to accept or decline any individual for membership in the Program for any reason at all or to otherwise discontinue a membership for any reason upon the conclusion of an annual term. This right includes, but is not limited to, the following circumstances, all of which shall be determined by Health + Glow at its sole discretion:
- Clinical Suitability: Health + Glow Primary Care may decline to accept a patient if, based on clinical judgment, the patient’s health conditions or needs are deemed incompatible with the services or capabilities offered by the Program.
- Membership Capacity: Health + Glow Primary Care may limit the number of members in the Program to ensure the quality of care. In such cases, prospective members may be placed on a waiting list or declined if the Program has reached its capacity.
- Non-Compliance: Health + Glow Primary Care may decline or terminate membership if the patient fails to comply with the terms and conditions of this Agreement or any applicable health care guidelines.
- Ethical or Legal Considerations: Health + Glow Primary Care reserves the right to decline membership based on ethical, legal, or regulatory considerations.
- Prior to Acceptance: Before finalizing membership, Health + Glow Primary Care will conduct an initial review to determine suitability. This review may include a health assessment and other relevant evaluations.
- EXCLUSIONS AND LIMITATIONS:
- Insurance and Billing: Membership fees can be paid using an FSA/HSA account but can not be paid through insurance. No insurance claim can be filed. Membership fees, do not cover costs that may be billed separately, such as laboratory tests, imaging, or other diagnostic procedures.<
- Not a Replacement for Insurance: This Membership is not health insurance nor a substitute for health insurance and does not cover all medical expenses. Members should maintain their health insurance coverage for non-covered services and emergencies.
- MEMBER CONDUCT – Respectful and ethical behavior in interactions with Health + Glow staff is always expected. Disruptive or abusive behavior by Member or any Family Member may result in termination of the membership at Health + Glow’s sole discretion.
- LIABILITY AND DISCLAIMER:
- LIMITATION OF LIABILITY: TO THE EXTENT PERMITTED BY APPLICABLE LAW, HEALTH + GLOW IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES RESULTING OR ARISING FROM THE SERVICES PROVIDED HEREIN OR THIS AGREEMENT, REGARDLESS IF CAUSED BY THE NEGLIGENCE OF HEALTH + GLOW OR OTHERWISE, AND REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND WHETHER OR NOT HEALTH + GLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.
- Disclaimer of Warranties: WHILE HEALTH + GLOW AIMS TO PROVIDE HIGH-QUALITY CARE, THERE ARE NO GUARANTEES OR WARRANTIES OF ANY NATURE REGARDING THE OUTCOMES OF MEDICAL TREATMENTS OR SERVICES. AS SUCH HEALTH + GLOW DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED.
